The American Eagle 25th Anniversary Sweepstakes Official Rules
No Purchase Necessary. A purchase will not increase your chances of winning

1. ELIGIBILITY. The American Eagle 25th Anniversary Sweepstakes ("Sweepstakes") is open to legal residents of the 48 contiguous United States and the District of Columbia, except Hawaii and Alaska, who are lawful U.S. residents, are at least 21 years old at the start of the Sweepstakes and have Internet access ("Entrants"). Sweepstakes is sponsored by the Miami Herald Holding Company, One Herald Plaza, 4th Floor, Miami, FL 33132-1693 ("Sponsor"). Promotional consideration provided by American Eagle and American Airlines, Southernmost of the Beach Hotel, Key West, Florida, Kiawah Island Resort, Charleston, an all-inclusive stay at Sandals Royal Bahamian Spa Resort & Offshore Island — The Luxury Included® Vacation ("Promoters"). Employees and immediate families of Sponsor, The McClatchy Company and Promoters (collectively, "Sweepstakes Entities") and their respective parents, subsidiaries, affiliates, directors, owners, employees and agents are not eligible. Void outside of the United States and where prohibited by law.
   
   
2. SWEEPSTAKES PERIOD. The Sweepstakes begins at 12:01 a.m. Eastern Time ("ET") on November 1, 2009 and ends at 11:59 p.m. ET on February 28, 2010 (the "Sweepstakes Period").
   
   
3. HOW TO ENTER. Online Entries Only. During the Sweepstakes Period, log on to www.EagleLatitudes.com/win and follow the online instructions to enter the Sweepstakes. In order to be eligible to win, you must completely and accurately fill in the online entry form and provide all required information, including valid name, email address and zip code. You will also have an option to invite friends to enter the Sweepstakes by entering their name(s) and email address(es) in the space(s) provided. For each friend you invite, you will get three (3) additional entries in the Sweepstakes, up to fifteen (15) additional entries. All entries must be received by 11:59 p.m. ET on February 28, 2010 according to Sponsor's time. No hand, mail-in or e-mail deliveries will be accepted. None of the Sweepstakes Entities are responsible for late, incomplete, void, corrupted, garbled, misdirected, or otherwise unintelligible Entries and for any problems, bugs or malfunctions Sweepstakes Entrants may encounter when submitting their entry. Incomplete, garbled, corrupted or otherwise illegible entries are void and will not be accepted. Sponsor reserves the right to disqualify false entries or entries suspected of being false. All entries submitted become the sole property of Sponsor and will not be acknowledged or returned. Only one entry per natural person per email address. In the event of a dispute as to the identity of a winner, the winner will be deemed to be the person in whose name the e-mail account governing the e-mail address was opened.
   
   
4. ODDS. Odds of winning a prize depend on the number of eligible entries received.
   
   
5. SELECTION AND NOTIFICATION OF SELECTED ENTRANT: Each qualified entry will be entered into the random drawing for one of three Grand Prizes. A random drawing by a representative of Sponsor, from among all eligible entries received during the Sweepstakes Period, will be held on or about March 15, 2010 ("Drawing Date") to determine three (3) potential Grand Prize winners ("Selected Entrants"). Selected Entrants will be notified by email using the information provided on their entry forms within approximately seven (7) days after the Drawing Date ("Notification"). The Selected Entrants will be required to respond (as directed) within ninety-six (96) hours of attempted Notification. Selected Entrant's failure to respond timely to the Notification may result in forfeiture of the Grand Prize, and in such case, Sponsor may randomly select an alternate chosen entrant from among the remaining eligible entries. The Selected Entrants will be sent an affidavit of eligibility / liability / publicity release ("Release"). Except where prohibited by law, the Release will state that Selected Entrants agree to allow Sponsor to use (without additional compensation) his or her name, address, photograph, testimonial, likeness and/or biographical information for purposes of advertising and promotion (including, without limitation, posting on Sponsor's website(s) and affiliated website(s)). Selected Entrants may also be required to provide name, U.S. Social Security Number (for tax form purposes), birth date, current address and phone number. Unless restricted by law, the Selected Entrants will be required to complete and return the Release within the time period specified therein. The Prize may be forfeited, and in such case, an alternate Selected Entrant may be randomly selected from among the remaining eligible entries if the Selected Entrant: (i) cannot be reached; (ii) does not respond to the Notification within 96 hours; (iii) fails to obtain all signatures on the Release and to return the documents in a timely manner as required pursuant to these Official Rules; or (iv) cannot accept or receive the Grand Prize for any reason. Non-compliance with these Official Rules may result in disqualification and selection of an alternate Selected Entrant. Limit one (1) prize per person and per household.
   
   
6. PRIZE. Three (3) Grand Prizes will be awarded:
   
   
   1. Grand Prize #1: A seven (7) nights at The Sanctuary at Kiawah Island Golf Resort plus one round of golf for two, at Kiawah Island Golf Resort (Ocean Course excluded) for Selected Entrant and one (1) adult guest (must be at least 21 years old), which includes: Round-trip coach airfare on American Airlines and/or American Eagle originating from a major airport closest to Selected Entrant's residence serviced by American Airlines and American Eagle in the 48 contiguous United States. Selected Entrant and Guest are solely responsible to make their way to/from the gateway airport. Approximate retail value ("ARV") of Grand Prize #1: one thousand six hundred fifty dollars ($1,650).
      
      
   2. Grand Prize #2: A seven (7) days/six (6) nights stay at Southernmost on the Beach Hotel, Key West, Florida for Selected Entrant and one (1) adult guest (must be at least 21 years old), including: Champagne & Strawberries upon arrival, daily breakfast for two at the open-air oceanfront Southernmost Beach Café, Sunset Sail Adventure Trip for two, round-trip coach airfare on American Airlines and/or American Eagle originating from a major airport closest to Selected Entrant's residence serviced by American Airlines and American Eagle in the 48 contiguous United States. Selected Entrant and Guest are solely responsible to make their way to/from the gateway airport. ARV of Grand Prize #2: one thousand six hundred fifty dollars ($1,650). Hotel stay valid for dates excluding special events and holidays, based on space available basis, Restrictions apply.
      
      
   3. Grand Prize #3: A four (4) day / three (3) nights stay at Sandals Royal Bahamian Spa Resort & Offshore Island in Nassau, Bahamas (Sandals Resorts — The Luxury Included© Vacation) for Selected Entrant and one (1) adult guest (must be at least 21 years old), including: round-trip coach airfare on American Airlines and/or American Eagle originating from a major airport closest to Selected Entrant's residence serviced by American Airlines and American Eagle in the 48 contiguous United States. Sandals Resorts is a Luxury Included® resort destination, therefore this prize includes deluxe accommodations, all meals, unlimited premium brand beverages, nightly entertainment, land and water sports, gratuities and transfers to/from the designated airport. Selected Entrant and Guest are solely responsible to make their way to/from the gateway airport. ARV of Grand Prize #3: one thousand six hundred fifty dollars ($1,650).
      
      
   (Collectively "Prizes"). Total ARV of Prizes: $4,950.
   
   Any difference between actual value and actual retail value will not be awarded. Prizes are not transferable and non-refundable. Prizes are subject to availability at the time of booking, and certain travel restrictions, conditions and limitations may apply, including but not limited to holiday "blackout" dates. No substitution, transfer, or cash redemption of prize, provided however that Sponsor reserves the right to substitute a prize with another prize of equal or greater value should the advertised prize become unavailable for any reason. Actual value of travel prizes may vary based on point of departure and airfare fluctuations. Prize may be awarded in the form of voucher(s), coupon(s) and/or gift card(s) in Sweepstake Entities' sole discretion. Choice of airline(s), hotel(s), tour guide(s), tour operator(s) and/or itineraries, as applicable, shall be at the discretion of Sponsor and/or its prize suppliers. Once airline tickets, hotel reservations, and other reservations have been issued, they shall not be changed, re-sold, endorsed, exchanged, transferred or in any other manner modified by Selected Entrant.
   
   Selected Entrant and Guest must travel together on the same itinerary. Travel must be completed by February 28, 2011. Travel arrangements are subject to availability and to the terms of conditions of the airline, the hotel(s), restaurant(s), tour guide(s) and/or tour operator(s). Selected Entrant and Guest are solely responsible for any other unspecified expenses related to the travel prize, including but not limited to transportation to and from gateway airport, ground transportation, transfers, excursions, gratuities, meals and beverages, cover charges, upgrades, spa or gym services, personal expenditures, computer and/or phone charges, incidental hotel expenses, baggage fees, excess baggage charges, taxes and/or fees, fares, fuel, or supplemental charges.
   
   Guest of Selected Entrant must be at least twenty-one (21) years old and must sign a liability/publicity release and the signed release must be received before travel will be booked. Permission for travel and the signed releases must be received by Sponsor before travel will be booked. In the event that Selected Entrant or Guest does not provide the required releases, Selected Entrant and Guest will forfeit the winning title and the prize.
   
   All details regarding redemption of the Prize are at Sponsor's sole discretion and will be provided at the time of Selected Entrant's Notification. Selected Entrant must notify Sponsor Promoter or prize provider, as applicable, of requested travel dates at least forty-five (45) days in advance; otherwise Sponsor, Promoter or prize provider reserves the right to alter the request to accommodate availability. Selected Entrant and Guest(s) must have all necessary identification and travel documents including valid passport, if necessary, prior to the scheduled departure date, and at least one (1) valid driver's license and are responsible for all costs related thereto. Selected Entrant and Guest(s) are responsible for obtaining travel insurance (and all other forms of insurance) that they may wish to obtain (at their own expense) and hereby acknowledge that neither Sponsor, nor any of its prize suppliers have or will obtain or provide travel insurance or any other form of insurance. Neither Sponsor nor any of its prize suppliers will replace any lost or stolen tickets, travel vouchers or certificates. Any and all activities related to the prize, including without limitation flying, sailing and/or participation in resort activities and excursions, are at the Selected Entrants' and Guest(s)' own risk and subject to whatever restrictions are imposed by the entities that govern such activities. Selected Entrant and Guest are responsible for reviewing and understanding, in advance, the itinerary and all departure/arrival times (including any changes/revisions thereto). Selected Entrant and Guest are responsible for ensuring timely arrival at all locations necessary to travel to the resort, including but not limited to all airports and transfer locations. Failure of Selected Entrant and/or Guest to board the flight at any scheduled location and/or departure time will result in forfeiture of the Prize, and Sweepstakes Entities are not responsible for any costs/fees that may be incurred as a result thereof. The Grand Prize is subject to all terms and conditions of the Promoters, including but not limited to any terms and/or conditions contained in the Promoter's contract and/or prize redemption letters. If Selected Entrant or Guest is unable to participate in or accept the prize or any portion of the prize for any reason or if the vacation is cancelled by the vacation provider for any reason, the prize will be forfeited and Sponsor shall have no further obligation to the Selected Entrant.
   
   
7. CONDITIONS. All federal, state or other tax liabilities (including income taxes) arising from this Sweepstakes will be the sole responsibility of Selected Entrant and Guest. Except where prohibited by law, the Selected Entrant's entry and acceptance of the Prize constitutes permission for Sweepstakes Entities to use said Selected Entrant's and Guest's name, photograph, likeness, statements, biographical information, voice, and city and state address for promotional or advertising purposes in connection with these Sweepstakes on a worldwide basis, and in all forms of media, now or hereafter known, in perpetuity, without review, permission or further compensation. This Sweepstakes is subject to all applicable federal, state and local laws of the United States. By participating, Selected Entrant and Guest agree to be fully and unconditionally bound by these Official Rules and the decisions of Sweepstakes Entities and waive any right to claim ambiguity in the Sweepstakes or these Official Rules. Selected Entrants and Guest also agree to release, discharge, indemnify and hold harmless Sweepstakes Entities, and each of their respective officers, directors, employees, representatives and agents from and against any claims, damages, disability, attorneys' fees, and costs of litigation and settlement, as well as any liability due to any injuries, damages or losses to any person (including death) or property of any kind resulting in whole or in part, directly or indirectly, from: (i) use, redemption, acceptance, possession, ownership, or misuse of any prize, (ii) participation in any activity, event, or excursion offered in connection with the prize, (iii) use of any facility, service and/or accommodation related to the prize, or (iv) participation in any Sweepstakes-related activity or participation in this Sweepstakes. Sponsor reserves the right to disqualify any Entrant it finds to be tampering with the entry process or the operation of the Sweepstakes or violating these Official Rules, and reserves the right to cancel the Sweepstakes should it suspect fraud or for reasons out of the control of Sponsor. The Sweepstakes Entity shall not be liable for: (i) late, lost, delayed, misdirected, incomplete unreadable, inaccurate, garbled or unintelligible entries, communications or affidavits, regardless of the method of transmission; (ii) telephone system, telephone or computer hardware, software or other technical malfunctions, lost connections, disconnections, delays or transmission errors; (iii) data corruption, theft, destruction, unauthorized access to or alteration of entry or other materials; (iv) any injuries, losses or damages of any kind caused by the prize or resulting from acceptance, possession or use of a prize, or from participation in the Sweepstakes; or (v) any printing, typographical, administrative or technological errors in any materials associated with the Sweepstakes. Disputes regarding these Official Rules and/or this Sweepstakes will be governed by the internal laws of the State of Florida. By entering you consent to jurisdiction in the federal and state courts of Miami-Dade County, Florida for the resolution of any and all disputes. CAUTION: ANY ATTEMPT TO DELIBERATELY DAMAGE OR UNDERMINE THE LEGITIMATE OPERATION OF THE SWEEPSTAKES MAY BE IN VIOLATION OF CRIMINAL AND CIVIL LAWS AND WILL RESULT IN DISQUALIFICATION FROM PARTICIPATION IN THE SWEEPSTAKES. SHOULD SUCH AN ATTEMPT BE MADE, SPONSOR RESERVES THE RIGHT TO SEEK REMEDIES AND DAMAGES (INCLUDING ATTORNEY FEES) TO THE FULLEST EXTENT OF THE LAW, INCLUDING CRIMINAL PROSECUTION.
   
   
8. PRIVACY. All personal information collected by Sponsor will be used for administration of the Sweepstakes. In addition, entrants may receive email correspondence from, or on behalf of Sponsor subject to Sponsor's privacy policy. Sponsor uses reasonable commercial efforts to comply with Federal CAN-SPAM guidelines, and entrants may subsequently opt-out of receiving further emails by following the opt-out instructions contained in the email.
